1. About these terms
These Terms of Service (“Terms”) govern your use of the marketing website at scadable.com (the “Site”), operated by Ali Rahbar, carrying on business as SCADABLE (“SCADABLE,” “we,” or “us”), a sole proprietorship based in Ontario, Canada.
By accessing or using the Site you agree to these Terms. If you do not agree, please do not use the Site.
These Terms cover the marketing website only. The SCADABLE product at dashboard.scadable.com and the documentation at docs.scadable.com are governed by their own separate terms of service, which prevail over these Terms for use of those services.
2. Informational purpose
The Site is informational and promotional. Nothing on the Site constitutes an offer, representation, warranty, guarantee, or binding commitment, and nothing here is professional, legal, technical, or investment advice. Statements about planned features, roadmap, performance, or capabilities are aspirational and subject to change without notice.
3. Intellectual property
All content on the Site — including text, graphics, logos, icons, images, code, design, and the name “SCADABLE” and the SCADABLE logo — is owned by SCADABLE or its licensors and is protected by copyright, trademark, and other intellectual- property laws.
We grant you a personal, non-exclusive, non-transferable, revocable licence to view the Site in a standard web browser for your own informational purposes. You may not copy, frame, mirror, republish, redistribute, modify, create derivative works from, train machine-learning models on, or otherwise exploit the Site or its content, in whole or in part, without our prior written permission. Nothing on the Site grants you any other licence to our intellectual property.
4. Acceptable use
When using the Site, you agree not to:
- Use automated systems, bots, crawlers, or scrapers, except well-behaved search-engine indexers that respect our robots.txt. The directives in
robots.txtand anymetarobots tags form part of these Terms and are contractually binding on automated access. - Circumvent access controls, rate limits, or technical protection measures.
- Reverse engineer, decompile, or probe the Site for vulnerabilities (other than through a responsible-disclosure email to [email protected]).
- Interfere with the Site’s availability or performance, including by denial-of-service or excessive load.
- Use the Site for any unlawful, defamatory, or harassing purpose.
5. Feedback
If you send us suggestions, ideas, feedback, or other communications (for example, by email to [email protected]), you agree that such submissions are non-confidential and you grant SCADABLE a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, and otherwise exploit the submission for any purpose, without compensation.
6. Third-party links and services
The Site contains links to third-party websites and services (including but not limited to Cal.com, GitHub, LinkedIn, and docs.scadable.com). We do not control and are not responsible for the content, availability, policies, or practices of any third-party website or service. Links are provided for convenience only and do not imply endorsement.
7. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
8. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCADABLE DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, CURRENCY, COMPLETENESS, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCADABLE’S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, WILL NOT EXCEED CANADIAN ONE HUNDRED DOLLARS (CAD $100).
IN NO EVENT WILL SCADABLE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, personal injury or death caused by negligence, or any other liability that cannot lawfully be excluded or limited.
10. Governing law and forum
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You and SCADABLE submit to the exclusive jurisdiction of the courts of Ontario sitting in Toronto for any dispute arising out of or relating to the Site or these Terms.
Nothing in this section displaces any mandatory, non-waivable rights a consumer may have under the law of their habitual residence.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
11. Dispute notice
Before commencing any proceeding relating to these Terms, you agree to send us written notice of the dispute at the address below and to make a good-faith attempt to resolve the matter for at least 30 days.
12. Changes to these Terms
We may update these Terms from time to time. Changes take effect when we post the revised Terms with an updated “Last updated” date at the top. For material changes we will post a banner on the Site for at least 30 days. Your continued use of the Site after changes take effect is your acceptance of the revised Terms.
13. Miscellaneous
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and SCADABLE relating to the Site.
Assignment. You may not assign these Terms without our consent. We may assign these Terms (for example, if SCADABLE is transferred to, incorporated as, or acquired by another entity) without restriction.
